Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Sorenson Advertising, LLC DBA Brand Revolt, a Utah limited liability company (“Stakeholder Studio,” “we,” “us,” or “our”), governing your access to and use of the Stakeholder Studio platform (the “Service”).

1. Acceptance of Terms

By accessing or using the Service, you accept and agree to be bound by these Terms. If you do not agree, you may not use the Service.

These Terms apply to all users of the Service, including individuals and organizations. By creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Stakeholder Studio is a leadership communication platform that enables users to create, manage, and distribute stakeholder communications through video content, AI-powered content generation, and automated distribution workflows.

Service Features Include:

• Video recording and management tools
• AI-powered content generation and script creation
• Stakeholder management and communication tracking
• Multi-channel distribution capabilities
• Analytics and engagement reporting
• Team collaboration and workflow management
• Optional integration with third-party calendars (Google Calendar)

3. User Accounts and Registration

Account Requirements

• You must be at least 18 years old to use the Service
• You must provide accurate, complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• Your use must comply with all applicable laws and regulations

Account Security

• You are responsible for all activities under your account
• You must notify us promptly of any unauthorized access
• We recommend using strong, unique passwords
• You may not share your account credentials with others outside your organization

4. Acceptable Use Policy

Permitted Uses

• Creating and sharing professional business communications
• Managing stakeholder relationships and communications
• Collaborating with team members on approved projects
• Using AI features for content creation and optimization

Prohibited Uses

• Illegal activities or content that violates laws or regulations
• Harassment, discrimination, hate speech, or other harmful content
• Spam, unsolicited commercial communications, or fraudulent activities
• Attempting to gain unauthorized access to our systems or other users' data
• Distributing malware, viruses, or other harmful code
• Violating the intellectual property rights of others
• Scraping, reverse engineering, or using automated means to access the Service except as permitted by an official API
• Using the Service to build a competing product

5. Intellectual Property Rights

Your Content

• You retain ownership of all content you create and upload
• You grant us a worldwide, royalty-free license to host, store, process, transmit, and display your content solely as necessary to provide and improve the Service
• You are responsible for ensuring you have all rights necessary to upload and use your content
• You may export or delete your content at any time through the Service

Our Intellectual Property

• The Stakeholder Studio platform, its features, code, and design are our exclusive property
• You may not copy, modify, distribute, or reverse engineer our software
• Our trademarks, logos, and brand assets may not be used without our written permission
• We reserve all rights not expressly granted to you in these Terms

Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.

6. Third-Party Integrations

The Service includes optional integrations with third-party services, including Google Calendar. By connecting a third-party service, you authorize us to access and use that data as needed to provide the integration.

• Your use of any third-party service is governed by that service's terms and privacy policy
• We are not responsible for third-party services or any loss of data caused by them
• You may disconnect a third-party integration at any time from your account settings
• If a third-party service changes or removes its API, the corresponding integration may stop working

7. Waitlist and Beta Program

Waitlist Terms

• Waitlist participation does not guarantee access to the Service
• Invitations are sent based on availability and queue position
• Waitlist position is determined chronologically by signup date
• We may consider additional factors such as survey responses and organizational fit
• You may be removed from the waitlist for violations of these Terms

Invitation Expiration Policy

• Invitations expire 7 days from the date they are sent
• If you do not create an account within 7 days, your invitation will expire
• Expired invitations may result in being moved to the back of the queue
• You may request a new invitation after expiration, subject to queue position
• We are not responsible for missed or delayed invitation emails

Beta Program Benefits

• Beta users receive a 30% discount on subscription fees
• The beta discount continues for as long as your subscription remains continuously active
• If you cancel your subscription, the beta discount will not apply to any future re-subscription unless we expressly agree otherwise
• Beta status cannot be transferred to other accounts or organizations
• Beta program participation is limited and subject to capacity constraints

Beta Testing Responsibilities

• Beta users may experience bugs, errors, or service interruptions
• You agree to provide feedback and report issues you encounter
• Beta features may be modified or removed without notice
• You acknowledge that beta software may not be fully tested
• We may request participation in surveys, interviews, or testing activities

8. Payment Terms and Billing

Subscription Plans

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You may cancel your subscription at any time
• We may change pricing with 30 days' notice to existing subscribers
• Taxes are additional and your responsibility

Payment Processing

• Payments are processed securely through Stripe
• You must provide valid payment information
• We may suspend the Service for failed payments
• You authorize automatic renewal unless you cancel

Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• We do not provide refunds for partial months or unused portions
• Free trial cancellations take effect immediately

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Security

• We implement industry-standard security measures
• You are responsible for maintaining the confidentiality of your account and content
• We will notify you of any significant security incidents as required by law
• Data is encrypted in transit and at rest

10. Service Availability and Support

Service Level

• We target 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when reasonably possible
• We may temporarily suspend the Service for security, maintenance, or operational reasons

Customer Support

• Support is provided via email and in-app messaging
• Response times vary by subscription plan
• We provide documentation and self-service resources
• Priority support is available for premium subscribers

11. Termination

Termination by You

You may stop using the Service and close your account at any time. Cancellation takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account, with or without notice, if:

• You materially violate these Terms or our Acceptable Use Policy
• You fail to pay fees when due
• Your account is inactive for an extended period
• We are required to do so by law
• We discontinue the Service (we will provide reasonable advance notice)

Effect of Termination

Upon termination, your right to use the Service ends immediately. We will retain your data for 30 days for recovery purposes (unless we believe retention is necessary for legal, security, or fraud-prevention reasons), after which it will be permanently deleted. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

12. Indemnification

You agree to defend, indemnify, and hold harmless Sorenson Advertising, LLC DBA Brand Revolt and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your content or the rights you grant us in your content; (c) your violation of any law or the rights of any third party; or (d) any willful misconduct or negligence on your part.

13. DMCA Copyright Policy

We respect intellectual property rights and respond to clear notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act (DMCA).

If you believe content on the Service infringes your copyright, please send a written notice to support@stakeholderstudio.com that includes:

• Your physical or electronic signature
• Identification of the copyrighted work claimed to have been infringed
• Identification of the allegedly infringing material and where it appears on the Service
• Your contact information (address, telephone, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner

We may terminate accounts of users who are determined to be repeat infringers.

14. Disclaimers and Limitations of Liability

Service Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SORENSON ADVERTISING, LLC DBA BRAND REVOLT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws principles. You and Sorenson Advertising, LLC DBA Brand Revolt agree that the exclusive venue for any dispute arising out of or related to these Terms or the Service will be the state and federal courts located in Salt Lake County, Utah, and you consent to personal jurisdiction in those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or in-app notification and update the “Last updated” date above. Your continued use of the Service after the updated Terms take effect indicates acceptance. If you do not agree to the updated Terms, you must stop using the Service.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
• Severability: If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
